Agreement to Terms

These Terms of Service ("Terms") govern your use of the kuduy.com website located at https://kuduy.com/. By accessing or using our website, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the website.

Services

kuduy.com provides digital services including but not limited to web design, web development, e-commerce solutions, search engine optimization (SEO), digital marketing, branding, and website maintenance.

The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project proposal or agreement between you and us.

Project Terms

Proposals & Agreements

All projects begin with a formal proposal outlining the scope of work, deliverables, timeline, and pricing. Work begins only after written approval of the proposal and receipt of any required deposit.

Client Responsibilities

You agree to:

  • Provide all necessary content, assets, and access credentials in a timely manner
  • Review and provide feedback on deliverables within the agreed timeframe
  • Ensure that all content you provide does not infringe on any third-party rights
  • Make payments according to the agreed schedule

Revisions

Each project phase includes revision rounds as specified in your proposal. Additional revisions beyond the agreed number may incur extra charges at our standard hourly rate.

Payment Terms

  • A non-refundable deposit (typically 50%) is required before work begins
  • The remaining balance is due upon project completion, before final files are delivered
  • Monthly service fees (SEO, marketing, maintenance) are billed at the beginning of each month
  • Invoices are due within 14 days of issue unless otherwise agreed
  • Late payments may be subject to a 1.5% monthly interest charge

Intellectual Property

Ownership

Upon full payment, you receive full ownership rights to all custom designs, code, and content created specifically for your project. We retain the right to display the work in our portfolio unless otherwise agreed in writing.

Third-Party Assets

Third-party assets (stock photos, fonts, plugins, etc.) are subject to their own licensing terms. We will inform you of any third-party licenses required for your project.

Pre-Existing Materials

kuduy.com retains ownership of pre-existing frameworks, code libraries, and tools that may be used in your project. You receive a perpetual, non-exclusive license to use these materials as part of your delivered project.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of any agreement between us.

Warranties & Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However:

  • We do not guarantee specific results (e.g., search rankings, traffic numbers, conversion rates)
  • Our website and services are provided "as is" without warranties of any kind
  • We are not responsible for third-party service outages (hosting, APIs, payment providers)
  • We do not warrant uninterrupted or error-free operation of delivered websites

Limitation of Liability

In no event shall kuduy.com be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

Termination

Either party may terminate a project agreement with 30 days written notice. In the event of termination:

  • You will be invoiced for all work completed up to the termination date
  • Deposits are non-refundable
  • All delivered materials up to that point remain your property (subject to full payment)
  • We will provide reasonable assistance in transitioning to another provider

Website Usage

When using our website, you agree not to:

  • Use the website for any unlawful purpose
  • Attempt to gain unauthorized access to any portion of the website
  • Interfere with or disrupt the website or servers
  • Scrape, crawl, or harvest data without our written consent
  • Upload malicious code or content

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on this page. Your continued use of the website after changes are posted constitutes acceptance of the revised Terms.
